Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the MintClinic platform provided by Mintpath (“we,” “us”). By creating a workspace or using the service, you agree to these Terms on behalf of your clinic or organization.

The service

MintClinic is a multi-tenant software platform for hearing-care clinics, including scheduling, patient records, audiograms, commerce, insurance, and related tools. We may improve or modify features over time.

Accounts and eligibility

You must provide accurate information, keep credentials secure, and are responsible for activity under your accounts. You must have authority to bind your organization and to enter PHI on its behalf. We require multi-factor authentication for administrative access.

Subscriptions and billing

  • Plans are billed per clinic, per month, in advance, through our payment processor (Stripe).
  • Subscriptions renew automatically until cancelled.
  • You may cancel at any time; cancellation takes effect at the end of the current billing period.
  • Fees are non-refundable except where required by law.
  • Adding or removing clinics adjusts your charges accordingly.

Customer data and PHI

As between you and us, your clinic owns all data it submits, including PHI. We process it only to provide the service, under our Business Associate Agreement and Privacy Policy. You are responsible for the accuracy of the data you enter and for obtaining any required patient consents.

Acceptable use

You agree not to misuse the service, including: attempting to access another tenant’s data; reverse-engineering or disrupting the platform; uploading malicious code; or using the service in violation of law or third-party rights.

Intellectual property

We retain all rights in the MintClinic software, design, and documentation. We grant you a non-exclusive, non-transferable right to use the service during your subscription.

Confidentiality

Each party will protect the other’s confidential information and use it only as needed to perform under these Terms.

Warranties and disclaimer

We provide the service with reasonable skill and care and maintain the security measures described in our Privacy Policy. Except as expressly stated, the service is provided “as is” without other warranties to the maximum extent permitted by law.

Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, or consequential damages. Our aggregate liability arising from the service is limited to the fees you paid in the twelve months preceding the claim. Nothing limits liability that cannot be limited by law.

Indemnification

You will defend and indemnify us against third-party claims arising from your data or your use of the service in breach of these Terms; we will do the same for claims that the service infringes intellectual-property rights.

Term and termination

These Terms apply while you use the service. Either party may terminate for material breach not cured within 30 days. On termination, your access ends and PHI is returned or destroyed per the BAA.

Governing law and changes

These Terms are governed by the laws of the State of Delaware, excluding its conflict-of-laws rules. We may update these Terms and will revise the “last updated” date; continued use constitutes acceptance.
